Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Cred Protocol Inc. ("Company," "we," "us," or "our"), concerning your access to and use of the credprotocol.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"), and your access to and use of the Cred Protocol API, the developer console at app.credprotocol.com, our SDKs, MCP server, and related documentation (collectively, the "API Services"). Scores, reports, ratings, attestations, and any other output returned by the API Services are referred to as "API Data." References to the Site in these Terms include the API Services unless the context requires otherwise.

You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

Attribution and Logo Display

If you display, publish, or otherwise make API Data available to end users through any website, application, interface, agent, report, or other product or service ("Your Application"), you must:

Display the Cred Protocol logo in a reasonably prominent position on each page, screen, or view of Your Application where API Data is displayed, or on the page, screen, or view from which such API Data is directly accessed
Display the attribution text "Powered by Cred Protocol" (or other attribution text we approve in writing) adjacent to the logo
Link the logo or attribution text to https://credprotocol.com
Use the logo only in the form we provide, without modification, at a size and in a placement that is clearly legible, and in accordance with the brand guidelines published at credprotocol.com/brand or otherwise provided to you

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Cred Protocol name and logo solely to provide the attribution required by this section. You acquire no other right, title, or interest in the Marks. You may not use the Marks in any manner that suggests we endorse, sponsor, or are affiliated with Your Application beyond providing API Data, and you may not use the Marks as part of the name of Your Application, your company, or any domain name or social media handle.

You may not remove, hide, obscure, or alter the required attribution, and you may not present API Data as your own proprietary scoring or rating. We may waive or modify the requirements of this section only in a written agreement signed by us (for example, under an enterprise or white-label agreement). Failure to comply with this section is a material breach of these Terms, and we may suspend or terminate your access to the API Services, in addition to any other remedies available to us, if you fail to cure the breach within ten (10) days after we notify you.

Publicity and Customer References

You grant us a non-exclusive, royalty-free, worldwide license to use your name, logo, and trademarks to identify you as a user or customer of the API Services, including on the Site, in customer lists, presentations, press releases, case studies, and sales and marketing materials, and to describe Your Application and your use of the API Services in general terms.

You further agree that we may quote, excerpt, or paraphrase any feedback, testimonial, review, or statement about Cred Protocol or the API Services that you or your authorized representatives provide to us (including through support channels, interviews, surveys, or community forums) or make publicly (including on social media or in published content), with attribution to you, your company, and the individual who made the statement. We will not attribute to you any statement you did not make, and we will not disclose your confidential information or non-public usage data, such as request volumes or pricing, without your prior consent.

You may withdraw the permissions in this section at any time by emailing [email protected]. We will stop making new uses of your name, logo, and statements within thirty (30) days of receiving your request, but we are not required to recall or modify materials that were published or distributed before that time.

User Representations

By using the Site, you represent and warrant that:

All registration information you submit will be true, accurate, current, and complete
You will maintain the accuracy of such information and promptly update such registration information as necessary
You have the legal capacity and you agree to comply with these Terms of Service
You are not a minor in the jurisdiction in which you reside
You will not access the Site through automated or non-human means
You will not use the Site for any illegal or unauthorized purpose
Your use of the Site will not violate any applicable law or regulation

Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

Systematically retrieve data or other content from the Site to create or compile a collection, compilation, database, or directory without written permission from us
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords
Circumvent, disable, or otherwise interfere with security-related features of the Site
Use any information obtained from the Site in order to harass, abuse, or harm another person
Make improper use of our support services or submit false reports of abuse or misconduct

Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Governing Law

These Terms shall be governed by and defined following the laws of the United States. Cred Protocol Inc. and yourself irrevocably consent that the courts of the United States shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
